These Terms and Conditions (“Agreement”) govern the relationship between AMZ Canvas (“Service Provider,” “we,” “us,” or “our”) and any individual or business entity (“Client,” “you,” or “your”) that engages AMZ Canvas for visual conversion optimisation services.
By submitting an intake form, confirming a scope of work, or making any payment, you agree to be bound by this Agreement in full. Please read carefully before proceeding.
AMZ Canvas provides bespoke Amazon listing optimisation services grounded in Visual Sales Logic (VSL). Our methodology is diagnostic-first: we analyse, audit, and rebuild Amazon product listings to address the specific conversion leaks identified in each individual listing.
Services may include, but are not limited to:
AMZ Canvas does not offer fixed-package services. Every engagement is scoped individually following an initial discovery process. The specific deliverables, timelines, and investment are confirmed in a written Scope of Work document prior to any work commencing.
No work begins until a Scope of Work has been agreed upon and confirmed in writing by both parties.
2.1 Intake Submission
The Client completes and submits the AMZ Canvas intake form. Submission of the form does not constitute a binding agreement and does not guarantee the commencement of services.
2.2 Diagnostic Review
Upon receipt of the intake form, AMZ Canvas conducts a preliminary review of the Client’s listing and relevant market context. This review is complimentary and carries no obligation on either party.
2.3 Tailored Proposal
AMZ Canvas will contact the Client to present a tailored diagnostic plan outlining the specific interventions recommended, deliverables, timeline, and total investment required.
2.4 Scope Confirmation
The engagement becomes binding only when the Client provides written confirmation of the Scope of Work and satisfies the agreed payment terms. Verbal confirmation does not constitute acceptance.
AMZ Canvas reserves the right to decline any engagement at its sole discretion, including where the preliminary review indicates that the proposed intervention cannot be delivered to the AMZ Canvas standard of quality.
All deliverables are defined per engagement in the confirmed Scope of Work. Standard terms are as follows:

3.2 Delivery Method
Completed deliverables will be provided via a designated file-sharing platform. The Client is responsible for downloading and archiving all deliverables within thirty (30) days of delivery. AMZ Canvas does not guarantee indefinite file storage.
3.3 Acceptance of Deliverables
Deliverables are deemed accepted if the Client does not raise a written objection within seven (7) business days of delivery. Silence constitutes acceptance.
The number of revision rounds included in each engagement is specified in the confirmed Scope of Work.
4.1 What Constitutes a Revision
A revision is defined as a modification to a deliverable that falls within the original agreed brief, adjustments to layout, text, colour, or image composition within the originally defined parameters.
4.2 What Constitutes a New Brief
The following are not considered revisions and will require a revised Scope of Work and additional investment:

Revision turnaround times are specified per engagement. AMZ Canvas will not be held responsible for delays caused by late feedback from the Client.
4.4 Revision Expiry
Unused revision rounds expire thirty (30) days after delivery of the initial deliverable and cannot be carried over to a new project.

Accepted payment methods will be communicated at the time of engagement. All payments are due in the currency specified in the Scope of Work.
5.3 Late Payment
In the event of non-payment beyond the agreed due date, AMZ Canvas reserves the right to suspend all work without liability. Work will resume only upon receipt of the outstanding balance.

The Client agrees to provide feedback and approvals within the timelines agreed at project kick-off. Where the Client fails to respond within the agreed window, the project timeline will be extended accordingly and AMZ Canvas will not be held responsible for any resulting delay.
6.4 Client-Caused Delays
If the Client causes a delay of more than fourteen (14) business days due to non-responsiveness or failure to provide required materials, AMZ Canvas reserves the right to close the project. Any payments made will be retained as compensation for time allocated.
7.1 Ownership of Deliverables
Upon receipt of full and final payment, the Client is granted full ownership of the final delivered files. AMZ Canvas assigns all rights, title, and interest in the final deliverables to the Client upon payment completion.
7.2 Retention of Rights Prior to Full Payment
Until full payment is received, all deliverables remain the intellectual property of AMZ Canvas. The Client may not publish, upload, distribute, or use any deliverables prior to full payment without written permission from AMZ Canvas.
7.3 Portfolio & Case Study Rights
AMZ Canvas reserves the right to use anonymised before-and-after results, performance metrics, and visual deliverables for portfolio, case study, and marketing purposes, unless the Client formally opts out in writing at the time of project commencement.
If you wish to opt out of case study use, please notify AMZ Canvas in writing during the onboarding process.
7.4 Third-Party Assets
Any stock imagery, fonts, or third-party assets incorporated into deliverables will be licensed appropriately by AMZ Canvas. The Client assumes responsibility for ensuring that any assets they provide are properly licensed for commercial use.
8.1 No Guarantee of Performance Outcomes
AMZ Canvas does not guarantee specific results including but not limited to conversion rate (CVR) improvement, reduction in Advertising Cost of Sale (ACOS), increase in click-through rate (CTR), revenue growth, or Best Seller rank improvement.
Listing performance is influenced by a wide range of variables outside of AMZ Canvas’s control, including Amazon algorithm changes, competitive landscape shifts, pricing strategy, product quality, fulfilment performance, review volume, and advertising spend.
8.2 Service vs. Outcome
The Client acknowledges that the service being purchased is the diagnostic process and execution of agreed visual interventions. The outcome — movement of specific metrics — is a potential result of the service, not the service itself.
AMZ Canvas will always work with the intent to improve conversion performance. The metric is the market’s response to the work, not a contractual commitment.
AMZ Canvas operates under a principle of Radical Candour. We will tell clients when their listing, product, or market conditions are not aligned for conversion optimization to be effective.
9.1 Pre-Engagement Assessment
If during the discovery process AMZ Canvas determines that the product is not competitively positioned, the conversion challenges are not primarily visual in nature, or the primary bottleneck is not the listing visuals, we will communicate this to the Client before any paid engagement commences.
9.2 Right to Decline
AMZ Canvas reserves the right to decline or discontinue any engagement where it determines in good faith that the proposed intervention cannot be delivered to its quality standard or would not serve the Client’s genuine commercial interests. In such cases, no fees will be charged for the discovery phase.
10.1 Client Information
10.2 AMZ Canvas Proprietary Methods
The Client acknowledges that the methodologies and diagnostic processes used by AMZ Canvas, including the Visual Logic Audit process, Objection-Slayer Framework, and Social Proof Bridge methodology, are proprietary and may not be replicated, taught, or distributed without written consent.
10.3 Duration
Confidentiality obligations remain in effect for two (2) years following the conclusion of the engagement, unless a longer period is specified in a separate Non-Disclosure Agreement.
11.1 Structured Review Process
If the Client believes a deliverable does not meet the agreed Scope of Work, the Client must submit a written objection within seven (7) business days of delivery, specifying the deliverable in question, the specific elements that do not align with the agreed scope, and the Client’s proposed resolution.
AMZ Canvas will respond within five (5) business days with either a remediation plan or a written explanation of why the deliverable meets the agreed scope.
11.2 Escalation
If the dispute is not resolved within twenty (20) business days, both parties agree to engage a mutually agreed third-party mediator before pursuing any legal action.
11.3 Limitation of Liability
In no event shall AMZ Canvas’s total liability exceed the total fees paid by the Client for the specific engagement in dispute. AMZ Canvas shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the engagement.
12.1 Termination by Client
The Client may terminate the engagement at any time by providing written notice. The deposit is non-refundable, work completed to the point of termination is invoiced and payable, and partially completed deliverables will not be transferred until all outstanding balances are settled.
12.2 Termination by AMZ Canvas
AMZ Canvas reserves the right to terminate the engagement with written notice if the Client materially breaches this Agreement, engages in abusive or dishonest conduct, or fails to provide required materials or payments within agreed timeframes. No refund of fees paid will be issued upon termination due to Client breach.
These Terms & Conditions are governed by and interpreted in accordance with applicable laws, without regard to conflict of law principles.
14. Amendments
AMZ Canvas reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes via the contact information provided at intake. Continued engagement following notification constitutes acceptance of the revised terms.
This Agreement, together with the confirmed Scope of Work for each engagement, constitutes the entire agreement between AMZ Canvas and the Client. It supersedes all prior discussions, representations, and agreements, whether written or verbal.
If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
